How do Canadians qualify as Accredited or Permitted Investors for AngelList purposes?

Canadian investors must satisfy both Canadian and U.S. accredited investor standards to invest in any vehicle on the AngelList platform.  In consideration of these dual requirements, the amounts below are denominated in USD, and have not been converted to CAD.

You need to meet one of the following requirements:

  1. Net income greater than USD $200,000 (or USD $300,000 with a spouse) in each of the two most recent years, with a reasonable expectation of reaching the same income level in the current year.
  2. Net “financial assets” greater than USD $1,000,000, either alone or together with a spouse. “Financial assets” means cash, securities, or a contract of insurance, a deposit or an evidence of a deposit that is not a security. “Net” means total financial assets minus total liabilities.
  3. Net assets” of at least $5,000,000, either alone or with a spouse. “Net assets” means total assets minus total liabilities.  
  4. An entity with “net assets” of at least  USD $5,000,000. “Net assets” means total assets minus total liabilities. 
  5. An entity that is entirely owned by individuals or entities that meet any of the requirements above.
