What happens for pro-rata rounds?

If you would like to offer the RUV contractual pro-rata rights, you can.

When a new round is created, we create a new RUV and invite prior investors to invest their pro-rata amount (at $4,000/RUV paid by the participating LPs or the company). If there’s excess allocation not used by existing LPs, you can allow other new investors to participate in the new RUV’s allocation.

Generally speaking, instead of offering contractual pro-rata to the whole RUV, you could set aside an allocation in the next round for the individual investors who have been most helpful and create another RUV.
