What is a Master Partnership Entity Name?

Your Master Partnership Entity name (or Master LP name) appears on the cap table as part of the SPV name. For example, if your master LP Name is Jane Doe Investments, LP, then your SPV name for a deal might be AC-1220 Fund 1, a series of Jane Doe Investments, LP, which ultimately appears on the cap table.

 

The name that appears on the cap table strings together the following:

  • First two letters of the company name
  • Date Launched (MMDD)
  • Fund # (1 for the first SPV into a company, 2 for a follow-on, etc)
  • "a series of"
  • Master Partnership Entity Name

 

Note: the Master Partnership name needs to be available in the Delaware registry.
